General Terms and Conditions for Translators

1. Scope

(1) These Terms and Conditions apply to contracts between the translator and the customer, insofar as no other agreements have been made or are legally mandatory.

(2) General Terms and Conditions of the customer are only binding for the translator, if he/she has expressly accepted them.

2. Scope of the Translation Contract

The translation is carefully carried out according to the principles of proper professionalism. The customer receives the contractually agreed-on copy of the translation.

3. Customer's Duty to Participate and Inform

(1) The customer has to inform the translator on time of the desired format of the translation (purpose, delivery on data media, number of copies, readiness for printing, external format of the translation, etc.). If the translation is assigned for printing, the customer gives the translator a proof sheet on time prior to printing so that the translator can correct any errors. Names and numbers are to be reviewed by the customer.

(2) The customer makes information and documents that are necessary for the preparation of the translation available to the translator when assigning the contract (terminology of the customer, pictures, drawings, tables, abbreviations, internal terms, etc.).

(3) The translator shall not be held responsible for errors and delays that result from the lack of or delayed delivery of information material and instructions.

(4) The customer takes on the liability for the rights to a text and ensures that a translation may be prepared. He/she relieves the translator from corresponding claims of third parties.

4. Customer's Rights in Case of Deficiencies

(1) The translator reserves the right to subsequent fulfillment. The customer is initially only entitled to correction of possible deficiencies contained in the translation.

(2) The claim to subsequent fulfillment must be made by the customer stating the exact deficiency.

(3) If the translator does not correct the claimed deficiencies within an appropriate time period or he/she leans refuses to correct the deficiency or correction of the deficiency is to be considered as having failed, the customer can have the deficiencies corrected by another translator after a hearing of the contractor and at his/her expense or demand alternatively the reduction of the compensation or withdraw from the contract. The correction of deficiencies is considered as having failed if even after several correction attempts the translation continues to contain deficiencies.

5. Liability

(1) The translator is liable in case of gross negligence and intent. Not to be classified as gross negligence are damages that are caused by computer failures and transmission problems when sending e-mails or by viruses. The translator guards against this with anti-virus software. Liability in case of slight negligence applies exclusively in case of violation of primary obligations.

(2) The customer's claim for compensation against the translator of damages according to No. 5 (1) sentence 4 is limited to EUR 5,000; in individual cases an explicit agreement on a higher damage claim is possible.

(3) The exclusion or the limitation of the liability according to No. 5 (1) and (2) does not apply to damages of a consumer from injury to life, body, or health.

(4) Claims of the customer against the translator because of deficiencies of the translation (§ 634a German Civil Law Code [BGB]) fall under the statute of limitations within one year after acceptance of the translation, as far as no fraudulent intent exists. (Please note: This term only applies to contracts with companies, however, not to contracts with consumers)

(5) Liability for consequential damages is contrary to § 634a of the German Civil Law Code [BGB] restricted to the legal limitation period. § 202 sec. 1 of the German Civil Law Code [BGB] remains unaffected by this.

6. Professional Confidentiality

The translator promises to maintain confidentiality of all facts that become known to him/her in connection with an activity for the customer.

7. Involvement of Third Parties

(1) The translator is entitled to enlist colleagues or expert third parties for the completion of the contract.

(2) When enlisting expert third parties, the translator has to ensure that they commit to discretion according to No. 6.

8. Remuneration

(1) The invoices of the translator are due and payable without deductions within 14 days after the invoice date.

(2) All prices are net plus the legal value-added tax.

(3) In addition to the agreed-on fee, the translator is entitled to the reimbursement of actually incurred expenses that are agreed on with the customer. In all cases, the value-added tax, as far as legally required, is calculated additionally. The translator can demand an appropriate advance in case of extensive translations. The translator can arrange with the customer previously in writing that the delivery of his/her work depends on the prior payment of his/her full fee.

(4) If the amount of the fee is not arranged, a compensation appropriate and usual according to type and difficulty is owed. This compensation is not less than the respectively applicable rates of the German Judicial Remuneration and Compensation Act (JVEG).

9. Reservation of Ownership and Copyright

(1) The translation remains the property of the translator until complete payment has been received. Until then, the customer has no right of utilization.

(2) The translator reserves the right to any generated copyright.

10. Right of Withdrawal

As far as the awarding of the translation contract is based on the translator's offer of the preparation of translations on the Internet, the customer renounces his/her possibly existing right of withdrawal in case the translator has started the translation work and notified the customer hereof.

11. Applicable Law

(1) The contract and all claims resulting from it are subject to German law.

(2) Place of performance and fulfillment is the residence of the translator or his/her registered office.

(3) Place of jurisdiction is the place of fulfillment.

(4) The contract language is German or English.

12. Severability Clause

The validity of the remaining provisions of these General Terms and Conditions shall remain unaffected if individual provisions are rendered void or invalid. Any void provision is to be replaced with another provision permitting as closely as possible the same economic success.

13. Changes and Amendments

Changes and amendments of these General Terms and Conditions are only valid if they have been agreed-on in writing. This also applies to changes of the requirement for written form.

General Terms and Conditions for Interpreters

1. Scope

(1) These Terms and Conditions apply to contracts between interpreters and their customers, insofar as no other agreements have been made or are legally mandatory.

(2) They concern interpretation services in business negotiations, conferences, meetings, and seminars, etc., regulate mutual rights and duties and contain important information for the customers.

(3) General Terms and Conditions of the customer are only binding for the interpreter, if he/she has expressly accepted them.

2. Scope of the Interpretation Assignment

(1) The interpretation assignment is carefully carried out according to the principles of proper professionalism. The interpreter is obligated to work to the best of his/her knowledge and belief. He/she does not resume any obligation above and beyond that. The activity to be carried out by the interpreter is exhaustively specified in the order confirmation and/or in the contract.

(2) The product of the interpretation assignment is intended exclusively for immediate hearing. Its recording is permissible only with prior authorization of the interpreter. Each further use (for example direct transmission) requires a separate contractual agreement.

3. Substitution

If the interpreter should not be able to fulfill the contract due to an important reason, he/she has to make sure that an expert colleague takes on the duties out of this contract in his/her place, to the best of his/her abilities and insofar as it can be justly expected. This engagement requires the consent of the customer.

4. Customer's Duty to Participate and Inform

(1) The customer has to inform the interpreter of the special conditions of the interpretation assignment ahead of time, whereby difficult conditions or certain services, if applicable, and only by arrangement, are taken into account separately (recording on sound-recording medium, screenings, etc.).

(2) The customer makes information and documents that are necessary for the realization of the interpretation assignment available to the interpreter unbidden and in a timely manner (glossaries, pictures, drawings, tables, abbreviations, etc.). The interpreter receives a copy of all texts and documents that are to be read in the course of the discussion at the latest on the day before; this copy remains with him/her until the text or manuscript has been read and discussed.

(3) The interpreter shall not be held responsible for errors that result from the non-observance of these obligations.

(4) It is highly recommended - especially in difficult circumstances - to have a briefing (preliminary discussion), a factory walk-through, or another information service for the interpreter.

(5) Please send the interpreter texts and information documents only in the form of copies. The texts and documents are returned upon specific request. The deadline for the request, which is also the storage period for the interpreter, is 60 days after conclusion of the assignment.

5. Offers

An offer is created upon request. Creation and delivery of the offer are free of charge. Offers are subject to change and non-binding.

6. Assignment Acceptance

Assignments are considered as having been accepted only after written confirmation by the interpreter. The same applies to amendments, alterations, or supplementary agreements. The sending of an invoice is the same as an order confirmation.

7. Consultation

For the clarification of questions regarding the interpretation assignment and the subject matter treated therein, the interpreter makes an effort to consult with the customer. To this end, the timely designation of a competent contact person at the customer's is required.

8. Copyright

The product of the interpretation assignment is intended exclusively for immediate hearing. Its recording is not permissible without the prior written authorization of the interpreter. The copyrights of the interpreter remain reserved. The customer is also liable for unauthorized recordings by third parties.

9. Sound Film / Videos

The simultaneous transmission of the commentary recorded on the sound track into other languages during the showing of tone film / videos is only possible, if:

  • the interpreter can study the script of the commentary prior to the assignment and read along during the showing,
  • speaking the versions in other languages can be rehearsed in an extra showing,
  • the additional expenditure of time is remunerated, and
  • the film sound is transmitted from the pre-amplifier of the projector via cables to the headphones made available to the interpreter.

10. Workplace and Technology

(1) The workplace of the interpreter must be furnished in such a way that a direct view of all speakers, into the discussion room, and of projection walls is possible. The use of TV monitors as a replacement for the direct view into the room is to be discussed with the interpreter at the latest when the assignment is awarded.

(2) The customer must guarantee that the interpreter can hear the texts to be interpreted with optimum quality. To this end, suitable technical equipment is to be used.

(3) The interpreter is released of the obligation of service if he/she finds the room and technical conditions - especially the simultaneous equipment and its operation - to be objectively unreasonable and the situation is not remedied in spite of indications relating to this. The duties of the customer remain unaffected by this.

11. Working Hours

The normal working hours of the interpreter do not exceed 2 - 3 hours in the morning and, after an appropriate lunch break, 2 - 3 hours in the afternoon.

12. Liability

(1) The interpreter is liable only in case of gross negligence and intent. Liability is limited to the amount of the agreed-on fee. Any liability for consequential damages is excluded.

(2) Liability in case of slight negligence arises only in case of violation of essential contractual obligations.

(3) The interpreter is not liable for information given over the telephone.

13. Professional Confidentiality

The interpreter is obligated to maintain strict confidentiality of all facts that become known to him/her in connection with the execution of this contract and to derive no benefit from them.

14. Remuneration

(1) Interpretation services are invoiced at hours worked plus waiting and travel time plus travel costs whereby a started hour is calculated as a full hour.

(2) If the interpreter has traveled to the assignment place and cannot perform his/her services for reasons not caused by him/her, the customer is invoiced at least 1 hour of service time as well as the travel time and the travel costs.

(3) When agreeing on per diem rates, incidental expenses (travel costs), as far as they are not specifically excluded, are invoiced additionally.

(4) Remuneration is due and payable without deduction within 14 days after invoice date and includes the legal value-added tax.

(5) In addition to the agreed-on fee, the interpreter is entitled to the reimbursement of actually incurred expenses that are agreed on with the customer. For contracts with private customers, the value-added tax is included in the final price and listed separately. In all other cases, the value-added tax, as far as legally required, is invoiced additionally.

(6) In case of extensive interpretation assignments, the interpreter can demand an advance which is objectively necessary for the completion of the assignment.

(7) If the amount of the fee is not arranged, a compensation appropriate and usual according to type and difficulty is owed. This compensation is not less than the respectively applicable rates of the German Judicial Remuneration and Compensation Act (JVEG).

15. Force Majeure

In the case of force majeure, the parties are released of their obligations, as far as these obligations are affected by the force majeure. This does not apply to already incurred obligations to pay. Apart from that, the customer is obligated to reimburse the interpreter already incurred costs and to pay for services already rendered.

16. Cancellation

(1) In case of termination of the contract through the customer, or waiving by the customer of the services of the interpreter for the date agreed-on in the contract, or under the conditions stated herein, the following amounts are due:

  • within four weeks prior to begin of the assignment a cancellation fee in the amount of 30% of the agreed-on remuneration,
  • within three weeks prior 50%,
  • within two weeks prior 75%, and
  • within the last week prior to begin of the assignment the full agreed-on sum.

Moreover, the interpreter is entitled to reimbursement of the costs demonstrably incurred by him/her.

(2) As far as the interpreter receives another assignment for the date of the canceled contract, he/she can deduct the remuneration paid for this assignment from the fee for the canceled assignment.

General Terms and Conditions for Language Trainers

1. Validity

(1) These General Terms and Conditions apply in their respectively current version to all services offered by the language trainer and are acknowledged by the customer / participant through registration.

(2) The General Terms and Conditions also apply to further, future course registrations, without the need for a separate agreement.

(3) Contrary conditions of the customer / participant are hereby opposed. Such conditions also do not apply, even if the language trainer specifically does not expressly oppose them again after receipt. Deviations from these terms and conditions as well as amendments and supplementary agreements are only effective if the language trainer specifically confirms them in writing.

2. Conclusion of the Contract

(1) Booking courses can take place orally, per telephone, regular mail, e-mail, or fax.

(2) However, a legally binding effect occurs only with the corresponding confirmation or the start of the instruction by the language trainer.

3. Lessons

(1) The instruction agreement applies to the contractually defined period and/or the contractually determined volume. One instruction unit lasts 45 minutes. Unless agreed otherwise, lessons are always given in blocks of at least two instruction units.

(2) Lessons can alternatively be booked as lesson package (minimum: 10 instruction units), on a monthly basis, or according to individual agreements.

(3) Lessons are held at the agreed-on times. Time changes are only possible according to the conditions regulated under point 4. Lessons take place year round. No lessons take place on holidays and during vacation of the language trainer.

(4) The lesson location are the premises of the customer / participant. Upon request and at an additional charge, courses can also take place for example in a conference hotel.

(5) The language trainer can carry out a written and/or oral classification test with the participants prior to the start of the course or in the first instruction unit where appropriate.

(6) The contents listed in the course description and/or in the written offer are taught, however, the language trainer reserves the right to smodify the course contents as required and/or to adapt them to the needs of the participants.

4. Setting and Changing Dates

(1) In open group courses, cancellation by single participants of single lesson dates is on principle not possible free of charge. The missed lessons are invoiced at full price, independent of the reason for the impediment.

(2) For private lessons and/or closed groups, the customer can cancel lessons until at the latest 1:00 pm on the day before, for a lesson planned for Monday until Friday 1:00 pm. Time changes take place per e-mail or by telephone. In case of late cancellation, the lessons are invoiced at full price. Date arrangements with the language trainer are on principle not binding.

(3) The language trainer has the right for special reasons to set beginning and end of a training course anew, as well as to move single dates. The language trainer can furthermore change the individual lesson times as required. However, the two preceding sentences apply only in the context of what is reasonable for the customer. Insofar as announced date changes or postponements are associated with difficulties for the customer, the language trainer is to be notified of this as quickly as possible so that it is possible to reschedule if applicable. If the customer negligently omits this duty to communicate, the change in schedule undertaken by the language trainer is considered to have been accepted. On no account do one-time or multiple changes in schedule entitle the customer to an extraordinary termination of contract.

5. Course Fees

(1) The corresponding written offer applies respectively.

(2) After 12 months of regular activity it is possible to renegotiate the amount of the course fees.

6. Travel Costs and Expenses

(1) Travel costs are invoiced by kilometers.

(2) Telephone costs for training on the phone are invoiced by lesson / instruction unit. Alternatively it is also possible for the customer to call the language trainer; telephone costs do not apply then.

7. Invoicing

(1) When booking a lesson package, the invoice is due immediately upon receipt, at the latest prior to the start of the lessons, without deductions.

(2) For courses on a monthly basis, an invoice with a 14-day payment target is issued at the end of each month for the lessons given.

(3) In the case of delay in payment of more than one invoice, all invoices are due immediately.

8. Cancellation

(1) Registrations can be canceled free of charge in writing until 30 days prior to the start of the course.

(2) For cancellations between 29 and 14 days prior to the start of the course, 50% of the respective fees are invoiced.

(3) For cancellations of less than 14 days and/or non-appearance of the participant, the full course fee is invoiced. This does not apply if a replacement participant is specified.

9. Contract Period/ Termination

(1) The contract period amounts to the number of instruction units specified in the contract (minimum of 10 instruction units).

(2) For courses on a monthly basis, the minimum contract period is 3 months.

(3) The contract is subject to a written notice of 30 days at the end of the contract, as far as it does not automatically expire due to a set number of lessons / instruction units. Otherwise it is automatically extended by one month at a time. This applies to both contract parties.

10. Holidays / Vacation

No lessons take place on holidays and during vacation of the language trainer.

11. Canceled Lessons / Liability

(1) In case of canceled lessons due to sudden illness of the language trainer, force majeure, or other unpredictable events, no entitlement to the realization of the lesson exists.

(2) No liability is assumed for indirect damages, especially lost profit or third-party claims.

(3) In case of a continuing absence of the language trainer, depending on the arrangement with the participants, either the lessons are made up, or the contract is terminated with an extraordinary notice and any over-paid amount reimbursed.

12. Data Protection

The language trainer has the right to process customer / participant data that he/she received regarding the business relationship or in connection with it in terms of the German Federal Data Protection Act, regardless whether this data is from the customer / participant him/herself or from a third party. This notice replaces the information according to the German Federal Data Protection Act, that personal data regarding the customer is stored and processed by using Information Technology (IT).
